What Does a Ohio Registered Agent Do?

A registered agent does a few things for a company. Their main task is to be present when or if the company needs to receive tax or legal paperwork. These would be documents that can’t be sent to a mailbox or delivered to a front desk; rather, documents that must be handed directly to the person who represents the company.

A simple example would be a service of process, which is the delivery of legal documents in a lawsuit. These service documents must be delivered directly to the company’s representative – the registered agent – to ensure they are received.

How Do I Elect a Statutory Agent in Ohio?

A statutory agent serves as the official contact for legal matters involving your business. Should your LLC ever be sued, service of process will be given to the statutory agent. They can also receive notifications from the state and other official communications.

Ohio allows you to choose a commercial service or individual to be your LLC’s statutory agent, and you or another business partner can serve as the agent. The two main requirements are that the agent has a physical address in Ohio and that they consent to be the agent.

Your selection of a statutory agent is made when you file Articles of Organization. An LLC formation service can do this for you, or you can do it yourself.

If you want to file Articles of Organization yourself, you can choose either an online or mail filing option:

  1. Filing online requires creating a profile on the Ohio Business Filings Portal. The portal is maintained by the Ohio Secretary of State, and it’s the most convenient way to submit business documents. The left sidebar has different “Business Filings,” from which you can select the LLC formation documents once your account is created. Follow the prompts, providing the statutory agent’s information when asked. You’ll have to confirm that the agent consents to their appointment. The Ohio LLC filing fee is $99. You can pay it with a credit card when submitting the form. Processing can be expedited for another $100 to $300, and processing can alternatively be delayed for an additional $50.
  2. Filing by mail requires downloading Articles of Organization for a Domestic Limited Liability Company (Form 533A) from the Secretary of State. The document includes an initial cover letter and the form. All information must be typed. Your statutory agent must sign their consent before you submit the document. Mail the cover letter and form to the Ohio Secretary of State at one of the mailing addresses given below. Include the payment of the $99 filing fee and any applicable expedited processing fee.

How Do I Change My LLC’s Statutory Agent in Ohio?

You can update your previous registered agent to a new one in Ohio, which is a simple and easy process.

The easiest way to update your registered agent is to log into your Ohio Business Filings Portal account. Complete and submit the update form along with payment. The filing fee is $25.
