Step 3: Reserve Your North Dakota LLC Name

To reserve a business name prior to filing your LLC Articles of Organization, you must reserve a business name. The fee for filing a name reservation is $10.

You can reserve a business name for up to 12 months by submitting a Reserved Name Application. The application can only be submitted online and requires that you create an account with North Dakota Online Services.

Should you not form an LLC within one year, you can renew the name reservation for another 12 months. File the same Reserved Name Application, and pay the same $10 fee. There is no limit to the number of renewals that are allowed.

Using a North Dakota DBA for Your LLC 

In North Dakota, a DBA (“doing business as”) name is called a trade name or fictitious name. A North Dakota trade name or fictitious name permits you to use a name other than your LLC’s legal one.

If you wish to keep your LLC’s legal name but operate under something else, you can create a trade name or fictitious name for your LLC. Filing can be done online through the North Dakota Secretary of State’s FirstStop, or by mailing the Trade Name Registration or Franchise Name Disclosure (Form SFN 13401)The fee for a trade name in North Dakota is $25.

LLC owners sometimes choose to brand their businesses with a DBA. Most sole proprietors and general partnerships use a DBA to create a brand other than their surnames.

Step 4: Register a North Dakota LLC Trade or Service Mark

You can also conduct a federal trademark database to see whether someone or another business already has your name “marked.”

Assuming your name isn’t already marked, you can apply for a trade or service mark.

If you apply for a mark with the North Dakota Secretary of State, you’ll distinguish your LLC’s goods or services from others’. You’ll also issue a notice that other businesses in the state shouldn’t use your mark for their marketing purposes.
