    What Does a Connecticut Registered Agent Do?

These would be documents that can’t be sent to a mailbox or delivered to a front desk; rather, documents that must be handed directly to the person who represents the company.

    How Do I Elect a Registered Agent in Connecticut?

    All LLCs registered in Connecticut must have a registered agent within the state. The registered agent is responsible for receiving official communications on behalf of your business, which may include signing for tax notifications or if the business is served papers.

    You’ll notify the state of your chosen registered agent when filing your LLC’s Certificate of Organization. This is Connecticut’s main LLC formation document. An LLC formation service will take care of these details for you should you choose to use one.

    When you’re read to designate a registered agent, you can do so by:

    1. File online via the Business One Stop portal at Connecticut’s state website. You’ll be asked to designate a registered agent during the Certificate of Organization process, specifically when you reach the “Key Contacts” section. You’ll need the name and address of your LLC’s registered agent, and your registered agent must consent to their appointment via email within 72 hours of filing.

      The Connecticut LLC filing fee is $120 and must be paid at the time of filing.

    2. File via mail or in person by completing a Certificate of Organization form. The certificate asks for a registered agent’s name, business address, and Connecticut residence address in Section 4. The addresses cannot be P.O. boxes, and the original form must be submitted. Your registered agent must also sign their consent to their appointment on the form.

      The Certificate of Organization gets submitted to the Secretary of the State of Connecticut, whose addresses you can find on the form and below. The filing is also $120 if you choose to file by mail or in person.

     

    How Do I Change My LLC’s Registered Agent in Connecticut?

    Should you need to change your LLC”s registered agent, you can notify the Connecticut Secretary of State online, by mail, or in person using two different methods.

    • File Change of Agent Form

      You can file an online Change of Agent form via the CT Business One Stop online portal. The automated prompts will take you through the process. Credit card payment is required. If you’re filing by mail or in person, simply fill out the appropriate form, and submit it to the Connecticut Secretary of the State – Business Services Division. Payment is made by check. The fee for changing a registered agent is $50 for LLCs. Note that your new registered agent must consent to their appointment.

     

    • File Your Connecticut LLC Annual Report

      If you’re within the Connecticut LLC annual report filing period, you can change your registered agent along with your business information. Simply enter your new registered agent’s information on the report online via the CT Business One Stop online portal. The fee for filing an LLC annual report in Connecticut is $80.
